Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by Julia Technologies LLC ("Company", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Julia Technologies LLC provides consulting and development services in the areas of:

• Artificial Intelligence (AI) development and integration
• Machine Learning Operations (MLOps)
• Cloud engineering and architecture
• Software architecture and development
• Rapid prototyping and MVP development

3. Service Agreements

All services are provided under separate written agreements that will specify:

• Scope of work and deliverables
• Timeline and milestones
• Payment terms and pricing
• Intellectual property rights
• Confidentiality obligations

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally, we require:

• 50% payment upon project initiation
• 50% payment upon project completion and delivery
• Payment due within 30 days of invoice date
• Late payment fees may apply as specified in service agreements

5. Intellectual Property

Unless otherwise specified in a service agreement:

• Client retains ownership of their existing intellectual property
• Work product created specifically for the client becomes client property upon full payment
• Julia Technologies retains rights to general methodologies, frameworks, and tools
• Open source components remain under their respective licenses

6. Confidentiality

We maintain strict confidentiality regarding all client information and projects. We will not disclose any confidential information to third parties without written consent, except as required by law. This obligation survives termination of our service relationship.

7. Limitation of Liability

Julia Technologies LLC's liability for any claims arising from our services is limited to the total amount paid by the client for the specific services giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

8. Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. We do not guarantee specific business outcomes or results from our services.

9. Termination

Either party may terminate a service agreement with 30 days written notice. Upon termination, client will pay for all work completed up to the termination date.

10. Governing Law

These terms are governed by the laws of the State of Delaware, United States. Any disputes will be resolved through binding arbitration.
